Palo Alto Networks Announces $25 Billion Acquisition of CyberArk

Cybersecurity giant Palo Alto Networks announced a landmark $25 billion acquisition of identity security leader CyberArk on July 30, 2025, marking the company’s formal entry into the rapidly growing Identity Security market.

The strategic combination represents a significant premium and positions the merged entity to address the emerging challenges of securing AI agents and machine identities in the modern enterprise.

Strategic Acquisition Details

Under the definitive agreement, CyberArk shareholders will receive $45.00 in cash plus 2.2005 shares of Palo Alto Networks common stock for each CyberArk share.

This mixed consideration structure represents a 26% premium to CyberArk’s unaffected 10-day average daily volume-weighted average price as of July 25, 2025.

The transaction has received unanimous approval from both companies’ boards of directors and is expected to close during the second half of Palo Alto Networks’ fiscal year 2026, pending regulatory clearances and CyberArk shareholder approval.

The acquisition is anticipated to be immediately accretive to Palo Alto Networks’ revenue growth and gross margin, with free cash flow per share accretion expected by fiscal year 2028 following the first full year of synergy realization.

Nikesh Arora, Chairman and CEO of Palo Alto Networks, emphasized the acquisition’s timing coincides with Identity Security’s inflection point.

“The rise of AI and the explosion of machine identities have made it clear that the future of security must be built on the vision that every identity requires the right level of privilege controls,” Arora stated.

This strategy aligns with Palo Alto Networks’ historical approach of entering categories at critical junctures, previously transforming the company from a next-generation firewall provider into a comprehensive multi-platform cybersecurity leader.

Udi Mokady, CyberArk’s Founder and Executive Chairman, described the combination as “a powerful next chapter” that will accelerate the mission of protecting the world’s most critical assets through enhanced expertise across human and machine identities.

The acquisition specifically targets the emerging challenge of securing agentic AI – autonomous AI agents that represent “the ultimate privileged users.”

As organizations increasingly deploy AI-driven automation, these agents require sophisticated identity security controls with just-in-time access and least privilege principles.

The combined platform will provide the critical oversight necessary to secure AI-driven automation at enterprise scale.

CyberArk’s Identity Security Platform will be deeply integrated into Palo Alto Networks’ Strata and Cortex® platforms, leveraging artificial intelligence to deliver identity-aware security and real-time response capabilities across entire enterprises.

This integration aims to eliminate dangerous security gaps while simplifying operations through a unified solution approach, disrupting the legacy Identity and Access Management market by extending robust Privileged Access Management principles to all identity types.
